DALLAS, Feb 09, 2011 (BUSINESS WIRE) —

EXCO Resources, Inc. (NYSE:XCO) (“EXCO”) today announced that it received approximately $230 million from BG Group, plc (LSE: BG.L) (“BG Group”) in exchange for a 50% interest in oil and natural gas assets prospective for Marcellus shale development that EXCO recently purchased from Chief Oil & Gas LLC and related parties. EXCO Announces Midstream Plant Incident in Northwest Louisiana

DALLAS, Jun 06, 2011 (BUSINESS WIRE) — EXCO Resources, Inc. (NYSE:XCO) (“EXCO”) today announced that an incident occurred at its 50% owned TGGT Holdings, LLC (TGGT) amine treating facility in northwest Red River Parish, Louisiana on May 28, 2011. Appropriate governmental authorities were notified and have worked with us in response to the incident. This incident resulted in the death of an EXCO employee, injury to a contract employee of TGGT, and an ongoing interruption of service at the facility.

The treating facility, which is north of Coushatta, Louisiana, was shut down immediately. As a precautionary measure, another TGGT amine treating facility located in DeSoto Parish, Louisiana was also shut down pending results of company directed investigations into causes and remediation actions. At this point, substantially all of the natural gas production has been re-routed to alternate pipeline facilities and is flowing to sales. The shut down at these facilities reduced EXCO’s net production by an estimated 80-100 Mmcf per day for a six day period. As of today, approximately 10-20 Mmcf per day of EXCO’s net production remains shut in pending space availability on alternate pipelines or resumption of treating operations at TGGT’s plants. The TGGT plant involved treats approximately 450 gross Mmcf of natural gas per day. Combined, both of the TGGT treating facilities treat approximately 900 gross Mmcf per day. EXCO’s drilling and completion activities were unaffected and continue as planned. It is expected that production interruptions could continue for several weeks. Although natural gas production levels are substantially restored as gas has been routed to alternative pipelines, we continue to incur firm transportation charges of approximately $35,000 per day, net to EXCO.

TGGT Midstream is a midstream company operating in East Texas and North Louisiana and is jointly owned by EXCO and BG Group.

EXCO Resources, Inc. is an oil and natural gas production company headquartered in Dallas, Texas with principal operations in East Texas, North Louisiana, Appalachia, and West Texas.

Additional information about EXCO Resources, Inc. may be obtained by contacting EXCO’s Chairman, Douglas H. Miller, or its President, Stephen F. This release may contain forward-looking statements relating to future financial results, business expectations and business transactions.Business plans may change as circumstances warrant.Actual results may differ materially from those predicted as a result of factors over which EXCO has no control.Such factors include the ability to continue re-routing gas through alternate facilities and the time it may take to restore operations at the affected facilities. These risk factors and additional information are included in EXCO’s reports on file with the Securities and Exchange Commission.EXCO undertakes no obligation to publicly update or revise any forward-looking statements.

EXCO Resources Special Board Committee Concludes Strategic Review Process

DALLAS, Jul 08, 2011 (BUSINESS WIRE) —

The Special Committee of the Board of Directors of EXCO Resources, Inc. (NYSE: XCO) today announced that it has concluded its review of strategic alternatives to maximize shareholder value which commenced in January 2011.

The Special Committee stated, “We conducted a thorough review of strategic alternatives available to the Company. As that process did not result in a transaction the Special Committee determined is in the best interests of the Company and all of its shareholders, the Special Committee has decided to terminate the process. We appreciate the support and dedication of EXCO’s management team and employees during the review process and look forward to the Company’s continued progress.”

The Special Committee was formed in November 2010 following the receipt of an unsolicited conditional acquisition proposal from EXCO Chairman and CEO Douglas H. Miller to acquire all outstanding EXCO shares for $20.50 per share in cash. In January 2011, the Special Committee announced it was undertaking a comprehensive review of strategic alternatives available to EXCO with the assistance of independent financial and legal advisors. In addition to considering Mr. Miller’s proposal as part of that process, the Special Committee solicited third parties regarding their potential interest in acquiring EXCO and considered other strategic alternatives, including remaining as an independent public company.

In addition to Mr. Miller’s original proposal, on July 6, 2011, Mr. Miller submitted a written proposal for a possible transaction in which he and certain indicated financing sources (who collectively hold a significant minority percentage of EXCO’s outstanding common shares) would acquire by merger an approximately 81% interest in EXCO’s common equity at a stated purchase price of $18.50 per share, with each EXCO shareholder receiving $13.52 per share (or approximately 73% of the purchase price) in cash as well as equity in the post-transaction EXCO with a stated value of $4.98 per share (or approximately 27% of the purchase price), subject to rights of election and pro ration. As part of the financing for the proposed transaction, Mr. Miller’s proposal contemplated the issuance of $300 million of perpetual convertible preferred stock which, if not successfully issued, would result in an adjustment to the cash and stock mix received by EXCO shareholders. Mr. Miller indicated he believed he would likely be able to finance the transaction but he did not provide any financing commitments, nor did his proposal outline the terms by which his potential investors would govern EXCO and what rights and protections would be offered to the remaining publicly held interest in EXCO.

After consultation with its independent financial and legal advisors, the Special Committee determined that its review of strategic alternatives, including its consideration of Mr. Miller’s proposals, has not resulted in any firm proposal or any other proposal that the Special Committee determined was in the best interests of the Company and all of its shareholders. The Special Committee also determined it was not reasonably likely to receive any such proposal in the near term. Accordingly, the Special Committee concluded that it is in the best interests of EXCO and all of its shareholders to terminate the review process at this time.

Barclays Capital Inc. and Evercore Partners have been serving as financial advisors to the Special Committee and Kirkland & Ellis LLP and Jones Day have been providing legal counsel.

EXCO Resources, Inc. Announces Upcoming Investor Presentation

DALLAS, Jul 11, 2011 (BUSINESS WIRE) — As previously announced, the Special Committee of the Board of Directors of EXCO Resources, Inc. (NYSE: XCO) has terminated its review of strategic alternatives to maximize shareholder value. In light of this development, EXCO intends to release after market close on Tuesday, July 12, 2011, updated investor materials including financial, operating and reserve information. EXCO will host a conference call on Wednesday, July 13, 2011, at 10:00 a.m. (Dallas time) to discuss the contents of this release and respond to questions. Please call (800) 309-5788 if you wish to participate, and ask for the EXCO conference call ID #82762005. The conference call will also be webcast on EXCO’s website at http://www.excoresources.com under the Investor Relations tab.

Douglas H. Miller, Chairman and Chief Executive Officer of EXCO Resources commented, “The proposal initiated by me in 2010 assumed an all-equity financed transaction. Due to the length of the process, current market conditions, including volatility in natural gas prices, and other factors, I was unable to obtain or retain sufficient equity investments to complete the process. I could possibly have completed the financing with debt, however I believe such an approach would not have been in the best interest of the Company. EXCO is continuing its outstanding growth record. During the duration of the process, we grew production by 55% and made three acquisitions totaling approximately $385 million consisting primarily of undrilled acreage. These strategic acquisitions increased our revenue interest in certain existing Haynesville/Bossier Shale locations and added approximately 900 gross undrilled locations in the Marcellus Shale. We are finalizing our production and financial targets for the remainder of the year, however we currently expect full year 2011 annual production growth of approximately 60% as compared to 2010. I appreciate the support and dedication of our management team and employees during the process and look forward to EXCO’s continued growth.”

EXCO Resources Special Board Committee Enters into New, Extended Standstill Agreement with WL Ross & Co.

DALLAS, Jul 27, 2011 (BUSINESS WIRE) — The Special Committee of the Board of Directors of EXCO Resources, Inc. (NYSE: XCO) today announced that the Special Committee and the Company have entered into a new, extended standstill agreement with WL Ross & Co. LLC. The new standstill agreement replaces and supersedes the confidentiality and standstill agreement entered into with WL Ross on February 3, 2011 as part of the Special Committee’s strategic review process. As previously announced, the Special Committee concluded the strategic review process on July 8, 2011.

The new standstill agreement with WL Ross increases the percentage of EXCO’s outstanding common shares that WL Ross can beneficially own to 20% from the approximately 10% effectively allowed under the original confidentiality agreement. The new standstill agreement with WL Ross protects the interests of EXCO’s public shareholders by extending the standstill agreement until February 3, 2013. The original agreement with WL Ross was scheduled to expire on May 3, 2012. The new standstill agreement requires WL Ross and its affiliates to remain passive investors and prohibits them from engaging in certain activities, including the following:

Entering into any agreement, arrangement or understanding, or joining any group, with any third party for the purpose of acquiring, holding, voting or disposing of EXCO’s equity securities or to otherwise act in concert with respect to EXCO’s equity securities
Acquiring any derivative securities that would increase their economic or voting interest in EXCO above the 20% limit described above
Making any public offer to acquire control of EXCO
Soliciting proxies in connection with any offer to acquire control of EXCO or for any director nominee other than the Company’s nominees
Making any public shareholder proposal with respect to EXCO
Advising, assisting, encouraging or providing financing to any other person or group undertaking or seeking to undertake any of the foregoing actions
The Special Committee or the Company may, from time to time, enter into similar extended standstill agreements with other parties who participated in the strategic review process.
