EXCO Resources, Inc. Announces 2012 Capital Budget

DALLAS, Nov 17, 2011 (BUSINESS WIRE) —

The Board of Directors of EXCO Resources, Inc. (NYSE: XCO) (“EXCO”) has approved a capital budget of $710 million for 2012 of which $585 million is allocated to development and completion activities. This capital budget reflects a continued increase in our Marcellus shale activities and a decrease in our Haynesville shale activities to a level we believe is appropriate in light of the current natural gas price environment. The 2012 capital budget, which is net of an estimated $60 million carry by BG Group plc (LSE: BG.L) (“BG Group”) for certain drilling and completion spending in our Appalachian joint venture area, is allocated among our different budget categories as follows:

(Dollars in millions)
Drilling and Completion $ 585
Water Pipelines/Gathering/Field Operations 33
Land 28
Seismic 9
Corporate and Other 25
Capitalized Interest 30
Total $ 710
In addition, we plan to make $10 million of contributions to our equity investments. We expect to fund our 2012 capital budget with cash flow from operations, an estimated $50 million reduction in our restricted cash, and borrowings under our credit agreement to the extent necessary. Our 2012 operated rig count is expected to average 19, of which 13 rigs will drill in Haynesville/Bossier shales, five rigs will drill in the Marcellus shale and one rig will drill in our Permian area. Details of our plans within the various divisions are presented below:

Total 86.3 94.0 $ 585 $ 125 $ 710
(1) Includes $30 million of capitalized interest.

Haynesville and Bossier Shales:

We plan to spend a total of $469 million targeting the Haynesville and Bossier shales, of which $453 million will be spent for drilling and completion costs, $10 million for lease acquisitions, $6 million for operations projects and seismic data acquisition.

We are primarily drilling Haynesville shale targets, and we plan to have 13 operated drilling rigs within this area throughout the year. Although our drilling activities in this area are providing acceptable rates of return, we are reducing our level of activity to manage our cash flow in the current natural gas price environment. These rigs should allow us to drill and complete 98 gross (30.3 net) operated wells targeting the Haynesville and Bossier shales. In addition, we plan to participate in 22 gross (0.6 net) wells operated by others. We plan to complete an additional 22 gross (7.7 net) wells in 2012 related to our 2011 drilling activity. Of our 13 operated drilling rigs, eight will drill in our Holly area in DeSoto Parish and southern Caddo Parish, Louisiana. Virtually all of our drilling in this area will be full development on 80 acre spacing utilizing multi-well pads. Five rigs will drill in our Shelby Trough area which includes Nacogdoches, San Augustine and Shelby Counties, Texas. Drilling in this area will be focused on delineating our acreage and testing well spacing. In particular, we will be focusing our efforts in an area which has yielded initial production rates in excess of 30 Mmcf per day. Our 2012 plans are expected to fulfill all of our lease obligations. In addition, we will also be making investments in operating facilities, roads and water handling projects.

Marcellus Shale:

The capital budget program net to EXCO for our Marcellus shale program totals $128 million, of which $93 million will be spent to drill and complete 55 gross (13.2 net) operated horizontal Marcellus shale wells and 16 gross (6.0 net) horizontal Marcellus shale appraisal wells. The appraisal wells will be used to evaluate a number of our operating areas for future development activities. Other spending within the division includes $13 million for lease acquisitions and $22 million for operations projects and seismic data acquisition.

We currently have four rigs drilling, and plan to have five rigs drilling during 2012. Our development activities will focus in areas that have contiguous acreage positions and access to takeaway capacity. We continue to seek additional acreage in our main focus areas to aid in our development plans and expand our footprint.

Conventional Assets:

We have a capital budget totaling $58 million for our conventional assets. Within this budget, $32 million will be spent in our Permian division to drill and complete 38 gross (36.2 net) operated wells. The target zones include Clearfork, Wolfcamp and Canyon formations, which we believe contain higher oil bearing opportunities. We plan to average one rig drilling during 2012. Other spending on our conventional assets includes $6 million for lease acquisitions, $7 million on recompletions, and $13 million for operations projects.

Midstream Affiliates:

TGGT Holdings, LLC (“TGGT”) and Appalachia Midstream, LLC are the midstream joint ventures in East Texas/North Louisiana and Appalachia, respectively, in each of which we own a 50% equity interest. The primary focus of these entities’ capital programs is the building of gathering infrastructure and associated facilities in support of our upstream activities in each area. TGGT’s expected capital budget of $100 million will be funded by internally generated cash flow. Our Board of Directors has also approved capital contributions to Appalachia Midstream of up to $8 million for 2012, which are not included in the aforementioned $710 million capital budget.

EXCO Resources, Inc. Reports Year End 2010 Proved Reserves

DALLAS, Jan 13, 2011 (BUSINESS WIRE) — EXCO Resources, Inc. (NYSE: XCO) today announced a significant increase in its estimated proved reserves from prior year levels primarily attributable to continued drilling success in the Haynesville shale play.

Our proved reserves at December 31, 2010 are estimated at 1.5 trillion cubic feet equivalent (Tcfe) with a pre-tax PV10, a non-GAAP measure, of $1.4 billion, calculated pursuant to SEC pricing rules, which are based on the simple average of the first of the month reference natural gas and oil prices for the prior twelve month period, adjusted for energy content, quality and basis differentials. For 2010, the reference price was $4.38 per Mmbtu for natural gas and $79.43 per Bbl for oil which resulted in an adjusted price of $4.37 per Mmbtu for natural gas and $75.83 per Bbl for oil. At year end 2010 our proved reserves were 55% proved developed and 97% natural gas. Based on our estimated full year 2010 production of 112 Bcfe, our reserve life equates to 13.4 years. Using the five year futures strip price at December 31, 2010 averaging $5.23 per Mmbtu for natural gas and $93.09 per Bbl for oil, as adjusted for energy content, quality and basis differentials our estimated proved reserves, would have been 1.6 Tcfe with a pre-tax PV10 of $2.1 billion.

Proved Reserves
(Bcfe)
2010 2009 Increase
Proved developed 822 643 28 %
Proved undeveloped 677 316 114 %
Total 1,499 959 56 %
We estimate our total net resource potential to be approximately 11.3 Tcfe as of December 31, 2010. Our year end proved reserves and estimated unproved resource potential do not include any effects of our previously announced Marcellus shale acquisition from Chief Oil & Gas LLC (Chief). Chief received a required waiver from a third party and on January 11, 2011, the purchase price was released from escrow. We have also entered into a definitive agreement with a private company for the purchase of additional Marcellus shale properties with associated shallow production primarily in Jefferson and Clarion counties in Pennsylvania for $95 million, which is expected to close in the first quarter of 2011. BG Group, plc (BG Group) has the right to participate for 50% of these acquisitions. The total resource potential, including proved reserves, attributable to these acquisitions is approximately 3.4 Tcfe, of which 1.7 Tcfe would be net to EXCO if BG Group elects to participate in these acquisitions.

We currently hold approximately 76,000 net acres prospective for the Haynesville and Bossier shales. Pro forma for the closing of the two previously mentioned Marcellus shale acquisitions and assuming BG Group elects to participate in these acquisitions, we will hold approximately 152,000 net acres prospective for the Marcellus shale. This acreage position across both plays would result in a total shale drilling inventory of approximately 9,300 gross potential drilling locations.

The information in this release is unaudited and subject to revision. Audited and final results will be provided in our Annual Report on Form 10-K for the year ended December 31, 2010 currently planned to be filed with Securities and Exchange Commission by the end of February 2011. We believe that the presentation of pre-tax discounted present value is relevant and useful to our investors because it presents the discounted future net cash flows attributable to our proved reserves prior to taking into account future corporate income taxes and our current tax structure. We further believe investors and creditors use pre-tax discounted present value as a basis for comparison of the relative size and value of our reserves as compared with other companies. EXCO’s pre-tax discounted present value as of December 31, 2010 may be reconciled to its standardized measure of discounted future net cash flows as of December 31, 2010 by reducing EXCO’s pre-tax discounted present value by the discounted future income taxes associated with such reserves. This reconciliation is not currently available and will be included, along with additional reserve disclosure, in our 2010 earnings release.

Additional information about EXCO Resources, Inc. may be obtained by contacting EXCO’s Chairman, Douglas H. Miller, or its President, Stephen F. Smith, at EXCO’s headquarters, 12377 Merit Drive, Suite 1700, Dallas, TX 75251, telephone number (214) 368-2084, or by visiting EXCO’s website at www.excoresources.com. EXCO’s SEC filings and press releases can be found under the Investor Relations tab.

We believe that it is important to communicate our expectations of future performance to our investors. However, events may occur in the future that we are unable to accurately predict, or over which we have no control. You are cautioned not to place undue reliance on a forward-looking statement. When considering our forward-looking statements, keep in mind the risk factors and other cautionary statements in this press release, and the risk factors included in the Annual Report on Form 10-K for the year ended December 31, 2009 and our other periodic filings with the SEC.

Our revenues, operating results, financial condition and ability to borrow funds or obtain additional capital depend substantially on prevailing prices for oil and natural gas.Declines in oil or natural gas prices may materially adversely affect our financial condition, liquidity, ability to obtain financing and operating results.Lower oil or natural gas prices also may reduce the amount of oil or natural gas that we can produce economically.A decline in oil and/or natural gas prices could have a material adverse effect on the estimated value and estimated quantities of our oil and natural gas reserves, our ability to fund our operations and our financial condition, cash flow, results of operations and access to capital.Historically, oil and natural gas prices and markets have been volatile, with prices fluctuating widely, and they are likely to continue to be volatile.

The SEC permits oil and natural gas companies in filings made with the SEC to disclose proved reserves that a company has demonstrated by actual production or conclusive formation tests to be economically and legally producible under existing economic and operating conditions. Beginning with reserves reported for the year ended December 31, 2009, the SEC permits optional disclosure of “probable” and “possible” reserves in its filings with the SEC. EXCO may use broader terms to describe additional reserve opportunities such as “potential,” “unproved,” or “unbooked potential,” to describe volumes of reserves potentially recoverable through additional drilling or recovery techniques that the SEC’s guidelines strictly prohibit us from including in filings with the SEC. These estimates are by their nature more speculative than estimates of proved, probable or possible reserves and accordingly are subject to substantially greater risk of being actually realized by the company. While we believe our calculations of unproved drillsites and estimation of unproved reserves have been appropriately risked and are reasonable, such calculations and estimates have not been reviewed by third party engineers or appraisers. Investors are urged to consider closely the disclosure in our Annual Report on Form 10-K for the year ended December 31, 2009, which is available on our website at www.excoresources.com under the Investor Relations tab.

Special Committee of EXCO Resources to Explore Strategic Alternatives to Maximize Shareholder Value

Will Consider Unsolicited Proposal by Douglas Miller as Part of Comprehensive Process
Miller Agrees to Standstill and Other Process-Related Provisions
Company Adopts Shareholder Rights Plan to Safeguard Process
DALLAS, Jan 13, 2011 (BUSINESS WIRE) — The Special Committee of the Board of Directors of EXCO Resources, Inc. (NYSE: XCO) today announced it will explore strategic alternatives to maximize shareholder value, including a potential sale of the Company. As part of a comprehensive process, the Special Committee will consider a previously announced unsolicited proposal received on October 29, 2010 from Douglas H. Miller, the Company’s Chairman and Chief Executive Officer, to purchase all of EXCO’s outstanding common shares for $20.50 per share in cash as well as acquisition proposals the Special Committee may receive from other interested parties and other strategic alternatives potentially available to the Company.

As previously announced, EXCO’s Board of Directors has established a Special Committee of independent directors consisting of Vincent J. Cebula and Mark F. Mulhern to consider Mr. Miller’s offer and related matters.

At the direction of the Special Committee, the Company has adopted a shareholder rights plan with a one-year term. The shareholder rights plan is intended to enhance the ability of the Special Committee to conduct a thorough, deliberative process of exploring the Company’s strategic alternatives.

The Company and the Special Committee have entered into an agreement with Douglas Miller containing customary confidentiality and standstill provisions. The standstill provisions prohibit Mr. Miller from, among other things, acquiring additional shares of EXCO common stock, entering into agreements regarding or soliciting proxies in connection with an acquisition of the Company and seeking to influence the management of the Company in connection with such an acquisition. In addition, the agreement prohibits Mr. Miller from entering into agreements preventing EXCO shareholders from voting in favor of or tendering their shares in other offers to acquire the Company or preventing financing sources from providing financing to other parties in connection with an acquisition of the Company. The agreement also limits the parties with whom Mr. Miller can enter into financing arrangements. The Special Committee expects to enter into similar agreements with other parties interested in exploring a possible acquisition of the Company.

Vincent Cebula said, “After carefully reviewing Mr. Miller’s unsolicited proposal and other relevant factors with the assistance of our financial and legal advisors, the Special Committee determined it is in the best interests of shareholders to commence a comprehensive and independent review of strategic alternatives to maximize shareholder value. We intend to conduct a thorough process in which all interested parties will have an opportunity to participate on a level playing field. To that end, we believe it is in the best interests of EXCO shareholders to adopt a shareholder rights plan and require potential bidders to sign confidentiality and standstill agreements.”

There can be no assurance that the Special Committee’s exploration of strategic alternatives will result in a sale of the Company or any other transaction.

Under the terms of the shareholder rights plan, one right will attach to each share of the Company’s common stock that is outstanding as of the close of business on January 24, 2011and to each share issued thereafter prior to the expiration of the rights. The rights will become exercisable (subject to customary exceptions) only if a person or group acquires 10% or more of the Company’s common stock (thereby becoming an “acquiring person”) or commences a tender offer for 10% or more of the Company’s common stock. If a person or group becomes an acquiring person, upon payment to the Company of the exercise price of $75 per right, a holder (other than an acquiring person) will be entitled to purchase $75 worth of shares of the Company’s common stock (or under certain circumstances, the common stock of an entity that completes a business combination with the Company) at a 50% discount. The plan exempts each holder of 10% or more of the Company’s common stock on the date of the plan’s adoption as long as they do not thereafter acquire an additional 1% or more shares of the Company’s common stock, as well as parties that enter into qualifying standstill agreements with the Company. The Special Committee may, in its sole discretion, also exempt any transaction from triggering the plan. The rights expire on January 24, 2012 and the Company may amend the rights agreement or redeem the rights for nominal consideration at any time before the rights become exercisable.

The Company will file the rights agreement evidencing the shareholder rights plan and the agreement with Mr. Miller on one or more Current Reports on Form 8-K with the Securities and Exchange Commission. The foregoing descriptions of the two agreements are only summaries and are qualified in their entirety by reference to the full texts of the agreements. Interested persons are urged to read the full rights agreement and agreement with Mr. Miller as so filed with the Securities and Exchange Commission.

The Special Committee noted that the Company announced today the preliminary estimate of the Company’s proven reserves at December 31, 2010, and encourages all shareholders to review the press release issued by the Company.

Barclays Capital Inc. and Evercore Partners are serving as the Special Committee’s financial advisors and Kirkland & Ellis LLP and Jones Day are serving as its legal advisors.

EXCO Resources, Inc. EXCO Announces Midstream Plant Incident in Northwest Louisiana

DALLAS, Jun 06, 2011 (BUSINESS WIRE) — EXCO Resources, Inc. (NYSE:XCO) (“EXCO”) today announced that an incident occurred at its 50% owned TGGT Holdings, LLC (TGGT) amine treating facility in northwest Red River Parish, Louisiana on May 28, 2011. Appropriate governmental authorities were notified and have worked with us in response to the incident. This incident resulted in the death of an EXCO employee, injury to a contract employee of TGGT, and an ongoing interruption of service at the facility.

The treating facility, which is north of Coushatta, Louisiana, was shut down immediately. As a precautionary measure, another TGGT amine treating facility located in DeSoto Parish, Louisiana was also shut down pending results of company directed investigations into causes and remediation actions. At this point, substantially all of the natural gas production has been re-routed to alternate pipeline facilities and is flowing to sales. The shut down at these facilities reduced EXCO’s net production by an estimated 80-100 Mmcf per day for a six day period. As of today, approximately 10-20 Mmcf per day of EXCO’s net production remains shut in pending space availability on alternate pipelines or resumption of treating operations at TGGT’s plants. The TGGT plant involved treats approximately 450 gross Mmcf of natural gas per day. Combined, both of the TGGT treating facilities treat approximately 900 gross Mmcf per day. EXCO’s drilling and completion activities were unaffected and continue as planned. It is expected that production interruptions could continue for several weeks. Although natural gas production levels are substantially restored as gas has been routed to alternative pipelines, we continue to incur firm transportation charges of approximately $35,000 per day, net to EXCO.

TGGT Midstream is a midstream company operating in East Texas and North Louisiana and is jointly owned by EXCO and BG Group.
